Why Do Two Identical Abu Dhabi Firms Have Opposite Audit Obligations?

Because the rule that decides it is about registration, not size.

Ministerial Decision No. 84 of 2025, issued on 25 March 2025, sets out which taxable persons must prepare and maintain audited financial statements for UAE corporate tax. Article 2 names two categories (UAE Ministry of Finance):

Read those two lines next to each other and the consequence is stark. A two-person consultancy inside a free zone that qualifies needs audited accounts. A forty-person mainland company turning over AED 30 million does not, for corporate tax purposes.

The decision applies to tax periods commencing on or after 1 January 2025. It repealed Ministerial Decision No. 82 of 2023, which continues to apply to tax periods that began before that date.

This is the most useful thing an Abu Dhabi accounting firm can explain on its website. Your prospective client almost certainly does not know which side of the line they are on.


What ADGM Firms Must Do That Mainland Firms Do Not

Abu Dhabi Global Market is a financial free zone with its own companies regulations, and it publishes its requirements clearly.

The auditor must come from a register. Every ADGM company and limited liability partnership must file annual accounts audited by an ADGM Recognised Auditor. The Registration Authority maintains that register (ADGM).

The clock is personal, not calendar. Accounts are due within nine months of the company's Accounting Reference Date, and within six months for a public company (ADGM). The reference date is set at incorporation, so each company has its own deadline.

There is a threshold that decides whether a client needs you at all. ADGM's small company regime allows a simplified filing. Turnover must be not more than USD 13.5 million, with not more than 35 employees. A client sitting just under either line is one good year away from needing a full audit.

One auditor can cover both jobs. In November 2024 the ADGM Registration Authority settled this. ADGM Registered Auditors "are eligible to audit the financial statements of Taxable Persons domiciled in ADGM for UAE Corporate Tax purposes" (ADGM). That answers a question clients ask constantly and almost nobody has written down.

The market is not small. ADGM reported that the number of active licences reached 11,128 in the first half of 2025 (ADGM, published 30 October 2025).

What Is Published for Mainland Abu Dhabi, and What Is Not

Here we are going to tell you what we could not confirm, because it matters more than a confident guess.

Plenty of pages state that an Abu Dhabi mainland company must submit audited financial statements to renew its economic licence. We went looking for that requirement published by the authority itself. We could not find that requirement published by the Department of Economic Development or on TAMM. The specific claims circulating trace back to agency blogs rather than to the department.

We also could not read the relevant articles of Federal Decree-Law No. 32 of 2021 on Commercial Companies from the official legislation portal, which does not serve its text to automated retrieval. We are not going to summarise a law from somebody else's summary of it.

So, plainly: if you run a mainland company in Abu Dhabi, confirm your renewal requirements with ADDED in writing, and keep the answer.

What is documented is the corporate tax position above. Ministerial Decision No. 84 of 2025 is published in full by the Ministry of Finance, and it applies to your company whether you are in a free zone or not.

There is a search argument hiding in this. Suppose the authoritative answer genuinely is not published anywhere a client can find it. Then the firm that publishes a clear, correct, sourced version owns that question completely. Very few local searches are that wide open.


How Should an Abu Dhabi Accounting Firm Be Found?

By accepting that you are serving two different searchers and writing for both.

The ADGM finance manager is checking a register, working to a reference date, and asking whether you can handle corporate tax as well. The mainland business owner is asking whether they even need an audit, and what the AED 50 million line means for them. Those are different questions with different answers, and one page headed "Accounting Services in Abu Dhabi" answers neither.

Two caveats, because the sample is small and saying so matters more than the headline. These are single-digit impression counts, not a large study. And all five queries are served by pages published in the last nine weeks, so they are early readings rather than settled positions.

The pattern is still worth reading. Ajman and Fujairah reached the first page quickly because almost nobody has written those pages. Abu Dhabi did not, because plenty of firms compete for the capital. Being findable in Abu Dhabi is a harder job than being findable in Ajman, and any agency telling you otherwise has not checked.


What Should an Abu Dhabi Firm Fix First?

In this order, because each step makes the next one worth more.

First, state your registrations in plain text. If you are an ADGM Recognised Auditor, say so on the page, not in a PDF. It is the first thing a client verifies and the easiest thing for a search engine to read.

Second, complete and verify your Google Business Profile. Name Abu Dhabi and name what you are registered for. In 2025, just 35% of small and medium businesses had one (SMB Marketing Report). Finishing yours moves you ahead of most competitors immediately.

Third, write one page for each of your two audiences. One for ADGM companies, built around the register and the nine-month reference date clock. One for mainland companies, built around the AED 50 million threshold and what it means for them.

Fourth, answer the threshold question directly. Publish the AED 50,000,000 line and the Qualifying Free Zone Person rule in your own words, with the decision linked. It is the question your clients are actually typing, and almost nobody has answered it on a page they can find.

None of this needs a large budget. It needs facts your firm already knows, written in plain text where a search engine can read them.
